Resignation of a Director
A Director of a company can resign from the board of the company at any point of time provided the provisions given below shall comply while resigning from the Board of the Company.
- Director shall give notice in writing to the company.
- On receipt of the notice the board shall take note of the same and the company shall intimate about the same to the Registrar within a period of 30 days from the date of receipt of notice of resignation.
Effective Date-
The resignation shall take effect- From the date notice received by the company or the date specified by the resigning director in the notice, whichever is later.
Duty of Resigning Director-
The resigning Director shall also intimate the Registrar within 30 days of his resignation in Form DIR-11 along with the following details-
- Notice of Resignation;
- Proof of dispatch;
- Reason for Resigning
The Liability of the director who has resigned-
Even after resigning, a director shall remain liable for all the offences that occurred during his tenure.
Attention:
The Penal provisions of the companies act 2013, are given under section 448 and 449 which relates to false statement and punishment for false evidence respectively.
